Terms of Service

These Terms of Service ("Terms") govern your use of the LiteracyLens application for iPhone and iPad and the sorvia.io website (together, the "Service"), operated by LiteracyLens ("we," "us"). By creating an account or using the Service, you agree to these Terms on your own behalf and, if you use the Service for a school or district, on behalf of that institution ("School").

1. Who may use the Service

The Service is intended for adults employed by or working with K–12 schools and districts: administrators, assistant principals, instructional coaches, literacy specialists, and special education coordinators. You must be at least 18 years old. The Service is not directed to children, and students do not hold accounts.

If you accept these Terms on behalf of a School, you represent that you have authority to bind that School, and "you" includes the School.

2. Accounts and responsibilities

• You must provide accurate account information and keep your sign-in credentials secure. You are responsible for activity under your account.
• School administrators control which observers have access to the School's data and are responsible for revoking access when staff leave.
• You agree to enter into the Service only data you are authorized to handle in your professional role — primarily teacher information and walkthrough observations. Do not enter student personal information; the Service is not designed to store it.
• Notify us promptly at info@sorvia.io if you suspect unauthorized access to your account.

3. Plans, subscriptions, and billing

District (multiple buildings)	$599 per building per year	License multiple schools at the same per-building rate ($599 per building, 2 users each) plus additional users at $99/year each. Billed together on one purchase order under a single ordering agreement.

• How licenses are purchased: Building and District licenses are purchased directly from LiteracyLens — by invoice, purchase order, card, or school license code — through our website or sales process, not through in-app purchase. The app itself is a free download; entering a valid license code or signing in to a licensed school activates full functionality. This direct-purchase model keeps LiteracyLens compatible with Apple School Manager deployment.
• Purchase orders and invoices: Licenses purchased by PO or invoice are governed by the ordering document; payment is due net 30 unless otherwise agreed. Renewal notices are sent before each annual term; licenses do not auto-renew without a renewal order.
• Sales tax: Prices exclude applicable sales tax. Pennsylvania sales tax (6%) will be added unless a valid exemption certificate or school exemption documentation is provided; most public-school purchases qualify for exemption with proper documentation.
• Price changes: We may change prices for future subscription periods with at least 30 days' notice; changes never apply retroactively to a paid period.
• Lapsed subscriptions: If a subscription lapses, the account becomes read-only — existing data remains viewable and exportable (see Section 12), but new observations and records cannot be added until the subscription is renewed.

4. School data ownership and privacy

• As between you and us, your School owns all data it enters into the Service — observations, teacher rosters, student records, and notes ("School Data").
• You grant us a limited license to host, process, and display School Data solely to provide and support the Service, as described in our Privacy Policy.
• Student education records are handled under FERPA's school-official framework; a Data Processing Agreement is available at sorvia.io/dpa.
• We never sell School Data and never use student information for advertising.
• Administrators can export School Data via the in-app CSV exports at any time.

5. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose, or in violation of FERPA, IDEA, or applicable student-privacy or employment laws;
• Enter data about staff you are not professionally authorized to handle, or enter student personal information;
• Share account credentials, circumvent plan limits, or access another school's data;
• Reverse engineer, copy, scrape, or resell the Service or the LiteracyLens rubric;
• Upload malicious code or interfere with the Service's operation;
• Use the Service to harass any individual, including using observation data to harass or publicly shame a teacher.

6. Professional judgment disclaimer

• LiteracyLens is designed for informal walkthroughs, coaching conversations, and instructional leadership. It is not a replacement for a district's formal teacher evaluation system unless approved by the district. Personnel decisions remain governed by your district's evaluation systems, collective bargaining agreements, and applicable law.
• The rubric reflects published reading research (IDA Structured Literacy, NRP Five Pillars, and related scholarship) as a practical observation framework; it is not an endorsement by those organizations.

7. Intellectual property

• The Service — including the software, design, rubric structure, indicator text, and documentation — is owned by LiteracyLens and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable license to use it for your School's internal educational purposes during your subscription.
• Printing or sharing rubric content internally for walkthrough preparation and PD within your School is permitted and encouraged. Republishing or commercializing the rubric outside your School is not.
• Feedback you send us may be used to improve the Service without obligation to you.

8. Apple App Store terms

• These Terms are between you and LiteracyLens, not Apple. Apple is not responsible for the Service or its content, and has no obligation to furnish maintenance or support for it.
• In the event of any failure of the app to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price of the app to you; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app.
• Apple is not responsible for addressing any claims relating to the app, including product liability, regulatory compliance, or consumer-protection claims, or any third-party claim that the app infringes intellectual-property rights.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
• You represent that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government restricted-party list.
• Your use of the app must also comply with Apple's then-current App Store Terms of Service.

9. Service availability and changes

• We aim for high availability but do not guarantee uninterrupted service. Offline mode is designed so walkthroughs continue during connectivity gaps.
• We may improve, modify, or discontinue features. If we materially reduce paid functionality mid-subscription, your School may cancel and receive a pro-rated refund for the unused period (App Store purchases per Apple's refund mechanisms).
• Scheduled maintenance will be performed, where practicable, outside U.S. school hours.

10. Disclaimers of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL OPERATE WITHOUT ERRORS, THAT DATA WILL NEVER BE LOST (MAINTAIN YOUR EXPORTS), OR THAT ANY PARTICULAR EDUCATIONAL OUTCOME WILL RESULT FROM ITS USE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUES; AND (B) OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE AMOUNTS YOUR SCHOOL PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms limits liability that cannot be limited by law, and nothing limits our obligations regarding School Data under the Privacy Policy or an executed DPA.

12. Termination

• You may stop using the Service at any time; Schools may cancel subscriptions as described in Section 3.
• We may suspend or terminate accounts that materially violate these Terms, with notice and a reasonable opportunity to cure where practicable.
• Upon termination or expiration, your School may export its data for 90 days, after which data is deleted on the schedule described in the Privacy Policy (12-month retention for lapsed subscriptions, then permanent deletion; immediate deletion available on request).
• Sections 4, 6, 7, 10, 11, 13, and any accrued payment obligations survive termination.

13. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Pennsylvania, USA, without regard to conflict-of-laws rules. Courts located in Pennsylvania have exclusive jurisdiction over disputes, except that public-school customers retain any venue and sovereign-immunity rights afforded by their state's law. Before filing any claim, both parties agree to attempt good-faith informal resolution by contacting the other and allowing 30 days to respond.

14. Changes to these Terms

We may update these Terms. For material changes, we will notify account holders by email and in-app notice at least 30 days before they take effect. Continued use after the effective date constitutes acceptance; if you do not agree, stop using the Service and, if applicable, cancel per Section 3. The effective date above always reflects the current version.
